• Modern Real Estate Transactions 2024: Structuring and Negotiating Transactions in Uncertain Times

    Coblentz real estate partner Danna Kozerski is co-chairing and presenting during The American Law Institute Continuing Legal Education conference, “Modern Real Estate Transactions 2024: Structuring and Negotiating Transactions in Uncertain Times.” The conference will take place on February 14 through February 16, 2024 at the Renaissance Phoenix Downtown Hotel in Phoenix, Arizona and via video webcast.

    On Wednesday, February 14, 2024, Danna will co-present “Structuring a Capital Stack: How to Fill the Finance Gap.” The panel will cover typical sources of capital, including mortgage, preferred equity, and mezzanine financing, and will also cover replacements for secured financing, such as PACE financing and rescue capital.

    On Thursday, February 15, 2024, Danna will co-present “Joint Ventures: Management, Covenants, Exit Considerations, and More.” The panel will cover governance and management; control and minority issues; deadlock; the scope of a Manager’s responsibilities; restrictions on a Manager’s authority, including Major Decisions; performance standards for Sponsor/Managers; competitive opportunities and restrictive covenants; special issues in construction deals; and exit rights, including buy/sell, forced sale, tag-along and drag-along rights, and put call options.

    The California Privacy Rights Act (“CPRA”) amended the California Consumer Privacy Act (“CCPA”), and went into effect on January 1, 2023. The CPRA expanded consumer rights and created new privacy compliance requirements that businesses must put in place. CPRA enforcement begins on July 1, 2023.

    Coblentz is the proud host of the Copyright Society’s program “Going where no Bach has gone before: New Frontiers with AI-Created Music” on Thursday, May 4. With AI-generated music, copyright protection is facing rapidly emerging challenges. While the advent of digital music, file sharing, sampling, and streaming already stirred panic in the industry over the past 40 years, today’s AI-generated music is stoking new concerns for enforcement, expression, and originality. Musicologist Judith Finell will discuss this topic, and will demonstrate recent developments in Chat-GPT music applications.

  • Music Rights 101: Risk Avoidance and Strategies in Using, Licensing, and Commissioning Music

    On Wednesday, May 3, forensic musicologist and consultant Judith Finell will discuss the bundle of rights for using pre-existing music and recordings, as well as the risks and vulnerabilities to be considered in commissioning new musical works to fulfill and evoke a specific message, era, or demographic. She will provide examples of the way in which music is composed today, the use of temp reference tracks, and the ways in which new music technology introduces new potential risks of copyright violations – along with preventive measures that can be taken. Questions will be welcome. Attendance is limited so registration is requested.
