Mergers and Acquisitions

We have extensive experience in mergers and acquisitions with a variety of U.S. and international clients. We represent both acquirers and sellers, as well as joint venture partners creating new enterprises out of existing complementary companies. We also have significant experience counseling founder-owned, owner-operated businesses in their exits.

Our experience includes buy-outs, growth investments, management buy-outs, leveraged acquisitions and recapitalizations, joint ventures, spinoffs, and restructurings in domestic and cross border transactions. These transactions have ranged in size from the relatively small, where the value may lie in obtaining a specific technology or a group of skilled employees, to the very large, where the ownership of a substantial, mature business is at stake.

We also represent clients in acquiring assets and lines of business from companies involved in bankruptcy proceedings. Our clients in this area include publicly held and private companies, venture capital and private equity investors, and operating businesses.
